General Terms and Conditions (GTC)

The German version is authoritative. Deutsch

Version: July 2026 · Terms of use for the software “pruvia”

1. Scope and contracting party

These GTC govern the use of the software “pruvia” (hereinafter “Application”), provided by fastview ag, Reiherweg 2, 5034 Suhr (hereinafter “Provider”). By registering for or using the Application, the Customer accepts these GTC.

2. Description of services

pruvia is a web-based software (SaaS) for performing and documenting the limited statutory examination, the ordinary audit and special audits. The scope of functions is set out in the current description on pruvia.ch. The Provider develops the Application on an ongoing basis.

3. Registration and user account

Use requires a user account. The Customer keeps its access credentials secret and additionally protects its account through mandatory two-factor sign-in. It is responsible for all actions carried out via its account.

4. Obligations of the Customer

5. Availability

The Provider strives for high availability but does not owe uninterrupted availability. Maintenance work, faults or circumstances beyond the Provider’s control may lead to interruptions.

6. Prices and payment

The licence comprises a basic package and – at the Customer’s option – add-on packages and a certain number of engagements. The applicable prices are set out in the offer or the invoice. All prices are in Swiss francs plus statutory value added tax (currently 8.1 %).

Invoicing takes place annually in advance for the entire contract period (billing period = one year, see section 7). Invoices are payable within 30 days of the invoice date without deduction (payment on invoice with Swiss QR payment part). In the event of late payment, pruvia is entitled to restrict access (read-only) or to block it.

Adjusting the licence during the term: the Customer may adjust its licence at any time (additional engagements, additional packages). For such an increase, a supplementary invoice is issued corresponding to the price of the new configuration less the amounts already invoiced for the current contract period. The adjusted configuration ends together with the existing contract period (no proportional surcharge or discount, see section 7); there is no pro-rata calculation. A reduction (fewer engagements, removal of packages) is switched to the new configuration but does not lead to any refund of amounts already paid during the current period.

7. Contract term and termination

The contract and billing period is one year. The year is calculated from the initial conclusion (first licensing). All adjustments booked during the current period (additional packages or engagements) end on the same date as the original licence – if, for example, the basic contract is concluded on 1 January and add-on packages or engagements are booked later in the year, everything expires together on the following 31 December.

Unless terminated no later than 30 days before the end of the period, the contract is renewed for a further year on the terms then applicable. Termination requires text form (e.g. e-mail). After termination, access is deactivated; the Customer may export its data before expiry. Amounts already paid are not refunded in the event of termination during the current period.

8. Customer data and data protection

The data entered by the Customer remains its property. The Provider processes it as a processor exclusively for the provision of the service. The privacy policy applies in addition. The Customer remains responsible for complying with its own professional and data protection obligations.

9. Confidentiality

Both parties treat the other party’s confidential information as confidential and use it only for the performance of the contract.

10. Liability

The Provider is liable for damage only in cases of intent or gross negligence, to the extent permitted by law. Liability for slight negligence and for indirect and consequential damage (in particular loss of data, loss of profit) is excluded to the extent permitted by law. Professional responsibility for the audit and the report remains with the auditor.

11. Amendments to the GTC

The Provider may amend these GTC. Amendments are communicated to the Customer in an appropriate form; the current version published on pruvia.ch is authoritative.

12. Applicable law and place of jurisdiction

Swiss law applies exclusively, to the exclusion of conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction is 5000 Aarau, unless mandatory statutory places of jurisdiction provide otherwise.
